Bylaws


What are Bylaws?

Applicable Texas corporation law requires that a corporation establish in writing the rules or agreement which will govern the conduct, authority, and actions of the entity.  Bylaws must be approved and adopted by the corporation’s directors at the time of organization.

What issues do Bylaws address?

Bylaws typically address these matters: location of corporate offices; shareholders, meetings of shareholders, shareholder voting, and quorums; directors, meetings of directors, director voting, vacancies, and quorums; officers and agents; stock certificates; and indemnification of officers and directors.

I regularly assist clients in the negotiation and preparation of bylaws for their Texas corporations.
